Referral Agreement (Draft)
Proposed terms covering eligibility, referral compensation and the written agreement requirement before an introduction is accepted.
1. Status of this document
This document sets out the proposed terms on which GLP Legacy may work with a referral partner. It is a draft for review — not a signed referral agreement, not an offer to pay, and not a commitment to accept any introduction. No referral relationship and no right to compensation exists until a written referral agreement is signed by both parties.
Operational and legal particulars shown as pending confirmation must be completed and approved before this document is used with a referral partner. Effective date: pending confirmation during legal review.
2. Parties
GLP Legacy is operated by pending confirmation during legal review at pending confirmation during legal review. The referral partner is the individual or firm named in the signed written referral agreement.
Questions about these terms may be sent to Contact GLP Legacy before any introduction is made.
3. Definitions
The following terms have specific meaning in the written referral agreement.
- Qualifying Introduction — a warm introduction to an authorized decision-maker at an established operating company, made with that company’s permission, by a person who genuinely knows the decision-maker, and confirmed in writing by GLP Legacy before it is accepted.
- Net Collected Fee — the fee GLP Legacy actually collects for its role in a completed transaction, after third-party costs, taxes and refunds. It is not the seller’s gross data value and not an estimated opportunity.
- First Directly Attributable Transaction — the first completed transaction between GLP Legacy and a referred company that the written agreement attributes to that Qualifying Introduction.
- Written Referral Agreement — the signed agreement recording eligibility, the agreed share, payment conditions, term and confidentiality.
4. Eligibility
Eligibility is confirmed in writing before an introduction is accepted. A person who has not been confirmed as eligible may still make an introduction, but no right to compensation arises from it.
Some people may not be eligible to receive compensation because of employer, professional, contractual, fiduciary, public-sector or legal restrictions. Where compensation is prohibited, no payment is made and no substitute is offered.
- You must be at least 18 years old and able to enter a contract.
- Employees, officers and contractors may participate only where their employer’s policies and applicable rules permit outside referral compensation, and only through a permitted introduction to an authorized decision-maker.
- Advisors, vendors and consultants may participate only where their client agreements and professional rules allow referral compensation and require no additional disclosure.
- GLP Legacy may decline any introduction and may decline to confirm eligibility for any reason.
5. Qualifying introductions
Compensation depends on a Qualifying Introduction — not on a name, a list or a contact detail.
- A genuine warm introduction to a decision-maker you actually know.
- The business owner’s permission for GLP Legacy to contact them.
- An established operating company. A company with 10 or more employees may be worth reviewing; this is a guidepost, not a qualifying test.
- An introduction that GLP Legacy does not already know about or already have in discussion.
6. Information you must never collect or share
A referral partner makes an introduction only. GLP Legacy does not ask referral partners for company records and does not pay for confidential tips or unauthorized disclosures.
- Raw data, exports or files of any kind.
- Passwords or system credentials.
- Personal information (PII) or health information (PHI).
- Payroll, personnel or customer lists.
- Confidential, privileged or internal pricing and trade-secret material.
7. Referral compensation
Under a signed Written Referral Agreement, an eligible referral partner may receive up to 10% of GLP Legacy’s Net Collected Fee from the First Directly Attributable Transaction. The share is calculated on GLP Legacy’s net collected fee — not on the seller’s gross data value, an estimated opportunity, or any figure discussed during a preliminary review.
No completed transaction means no GLP fee, and no GLP fee means no referral payment. Compensation is due only after GLP Legacy has actually received its fee.
Many introductions will not lead to a transaction. No buyer, transaction, valuation, close or payment is guaranteed.
Compensation applies to the First Directly Attributable Transaction only. No recurring, lifetime or residual income is promised.
- Payment timing and method: pending confirmation during legal review.
- Taxes, withholding and reporting are the referral partner’s responsibility where applicable law requires it: pending confirmation during legal review.
- Currency and any conversion basis: pending confirmation during legal review.
8. Written agreement requirement
No compensation right exists before a Written Referral Agreement is signed by both parties. This page, an email exchange, a verbal understanding or a social-media message is not an agreement.
Eligibility and the agreed share must be confirmed in writing before an introduction is accepted. An introduction made before that confirmation does not create a right to compensation, even if it later leads to a transaction.
The Written Referral Agreement records the parties, eligibility, the agreed share of GLP Legacy’s Net Collected Fee, attribution, payment conditions, confidentiality, term and termination.
9. Ownership, control and the data broker role
GLP Legacy operates as a data broker. We help businesses evaluate whether permissioned operational data may have licensing value, prepare and position the opportunity, connect qualified opportunities with potential buyers or data partners, and help coordinate the commercial process. GLP does not take ownership of the company’s data; any rights, permitted use, compensation, privacy, security, retention, deletion, exclusions, and transfer terms are defined in writing before any authorized transaction. The business owner decides whether to proceed with a review or license anything at all.
Referral partners make introductions only. They are not brokers or agents unless separately authorized in writing and permitted by applicable law. They do not negotiate or act on anyone’s behalf under the referral agreement. A referral partner must not make representations about value or present themselves as an attorney, appraiser or licensed intermediary.
10. Confidentiality
Each party keeps the other’s confidential information confidential and uses it only for the referral relationship. GLP Legacy does not authorize public disclosure of referral details.
Confidentiality does not require or authorize sharing a company’s internal records, personal information, or anything the referral partner is not authorized to disclose.
11. Term and termination
The Written Referral Agreement states its start date and how either party may end it: pending confirmation during legal review.
Ending the agreement stops future introductions. Whether a transaction completed after termination remains attributable to an accepted Qualifying Introduction is decided by the terms in force when that introduction was accepted: pending confirmation during legal review.
12. Compliance with law and third-party rules
Both parties must comply with applicable law, including rules on inducements, conflicts of interest and the protection of confidential information. A referral partner is responsible for their own employer, client and professional obligations.
Introductions involving public officials, public-sector bodies or regulated transactions may be restricted or refused: pending confirmation during legal review.
13. Governing law and disputes
Governing law and the appropriate forum require confirmation for the actual legal entity: pending confirmation during legal review. No arbitration requirement or waiver of statutory rights is established by this draft.
Please contact GLP Legacy first so we can try to resolve a concern.
14. How to request the written agreement
To request a Written Referral Agreement, contact GLP Legacy and describe the company you would like to introduce at a high level — owner name, company and your relationship. Share no business data.
GLP Legacy will confirm eligibility in writing before accepting an introduction. Contact: Contact GLP Legacy.
